End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Makes Sense Software LLC (“us,” “we,” or “our”) for the software product(s) accompanying this EULA, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (collectively, the “Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. License Grant & Scope

1.1 Grant of License

Subject to your compliance with these Terms and the Terms of Sale, Makes Sense Software LLC grants you a non-exclusive, non-transferable, perpetual license to install and use the Software.

  • Perpetual Use: Your right to use the specific version of the Software downloaded during your maintenance period does not expire.
  • Server Limit: You may install the Software on one (1) production server and reasonable development/staging environments for your internal business use.
  • No User Limits: There are no “per-seat” or “per-user” restrictions within your organization.

1.2 Maintenance & Updates

This license includes one (1) year of maintenance, which provides access to new versions, security patches, and bug fixes.

  • After the one-year period, you may continue to use the last version you were entitled to indefinitely.
  • Continued access to updates requires the purchase of a Maintenance Renewal.

1.3 Proprietary Rights

The Software is licensed, not sold. You acknowledge that all intellectual property rights, copyrights, and trademarks in the Software belong to Makes Sense Software LLC.

2. Identification & Watermarking

2.1 Personalized Assembly

To provide a personalized experience and maintain the integrity of our community, each copy of the Software is custom-assembled upon download. This assembly includes the embedding of your name, company name, or other identifiers (“Watermarks”) directly into the software’s metadata and user interface.

2.2 Prohibited Actions

You acknowledge that these Watermarks are essential for the delivery of support and updates. You agree not to:

  • Modify, obscure, or remove any Watermarks or proprietary notices within the Software.
  • Create “clean” copies of the Software that strip these identifiers for the purpose of redistribution.

2.3 Trademark and Brand Assets

While the functional logic of the Software may be subject to GPL-compatible terms, the Makes Sense Software name, logos, and the specific visual arrangement of the “Watermarked” views are proprietary trademarks and trade dress of Makes Sense Software LLC. Redistribution of the Software with these marks intact without express written permission is strictly prohibited.

3. Derivative Works & GPL Compliance

3.1 Acknowledgment of Base Software

You acknowledge that the Software is a “derivative work” of Redmine, which is licensed under the GNU General Public License (GPL). Accordingly, the functional Ruby source code provided to you is licensed in a manner compatible with the GPL.

3.2 Ownership of Unique Logic

While the Software is GPL-compatible, Makes Sense Software LLC retains the original copyright to the specific, unique logic, algorithms, and architectural designs authored by us. Your right to redistribute the code is governed by the GPL, but your right to use our Trademarks, Branding, and Managed Identity (as defined in Section 2) is strictly limited by this EULA.

3.3 Separation of Assets

This License Grant does not extend to non-code assets, including but not limited to:

  • Visual Design: Our logos, specific CSS styling, and “trade dress”.
  • Documentation: Any proprietary manuals or guides provided with the Software.
  • Support Services: Access to our private support helpdesk and automated update infrastructure.

4. Termination

4.1 Termination by Customer

You may terminate this EULA at any time by destroying all copies of the Software in your possession. No refunds will be provided for termination by the customer outside of the window defined in our Terms of Sale.

4.2 Termination by Makes Sense Software LLC

We reserve the right to terminate your license and access to maintenance updates immediately if you breach any material term of this EULA, specifically regarding Trademark and Watermarking (Section 2) or Redistribution (Section 3).

4.3 Effect of Termination

Upon termination for breach, you must cease all use of the Software and delete all copies. Termination of the maintenance period (the one-year update bonus) does not terminate your perpetual right to use the software versions already in your possession, provided no breach has occurred.

5. Disclaimer of Warranty & Limitation of Liability

5.1 “AS-IS” WARRANTY

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

5.2 RISK ACKNOWLEDGMENT

YOU ACKNOWLEDGE THAT THE SOFTWARE INTERACTS WITH THIRD-PARTY SYSTEMS (REDMINE). MAKES SENSE SOFTWARE LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT IT WILL NOT CAUSE DISRUPTION TO YOUR EXISTING INFRASTRUCTURE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

5.3 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAKES SENSE SOFTWARE LLC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL LIABILITY SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE RELEVANT LICENSE.
