End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Makes Sense Software LLC (“us,” “we,” or “our”) for the software product(s) accompanying this EULA, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (collectively, the “Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. License Grant & Scope

1.1 Grant of License

Subject to your compliance with these Terms and the Terms of Sale, Makes Sense Software LLC grants you a non-exclusive, non-transferable, perpetual license to install and use the Software on Redmine instances operated by your organization for your internal business use.

  • Perpetual Use: Your right to use the Software does not expire.
  • Site License: A single license covers all Redmine instances operated by your organization, including production, staging, development, disaster recovery, and other internal environments. There is no per-server limit.
  • No User Limits: There are no “per-seat” or “per-user” restrictions within your organization.
  • Scope of “Organization”: Your organization includes the licensed legal entity and its wholly-owned subsidiaries. A separate license is required for unrelated entities or for use in a hosted/SaaS context where the Software is provided to third parties.

1.2 Updates

Your license includes access to all updates released for the purchased product at no additional cost. There is no maintenance period and no renewal fee. Updates are made available through your account on the Makes Sense Software website.

1.3 Proprietary Rights

The Software is licensed, not sold. You acknowledge that all intellectual property rights, copyrights, and trademarks in the Software belong to Makes Sense Software LLC.

2. Identification & Watermarking

2.1 Personalized Assembly

To provide a personalized experience and maintain the integrity of our community, each copy of the Software is custom-assembled upon download. This assembly includes the embedding of your name, company name, or other identifiers (“Watermarks”) directly into the software’s metadata and user interface.

2.2 Prohibited Actions

You acknowledge that these Watermarks are essential for the delivery of support and updates. You agree not to:

  • Modify, obscure, or remove any Watermarks or proprietary notices within the Software.
  • Create “clean” copies of the Software that strip these identifiers for the purpose of redistribution.

2.3 Trademark and Brand Assets

While the functional logic of the Software may be subject to GPL-compatible terms, the Makes Sense Software name, logos, and the specific visual arrangement of the “Watermarked” views are proprietary trademarks and trade dress of Makes Sense Software LLC. Redistribution of the Software with these marks intact without express written permission is strictly prohibited.

3. Split-Licensing & Proprietary Intellectual Property

3.1 The GPL Boundary (Ruby Code)

We acknowledge that our software interacts with Redmine, which is licensed under the GNU General Public License (GPL). In accordance with open-source guidelines, the backend Ruby code portions of our plugins are distributed under a GPL-compatible license.

3.2 Strictly Proprietary Assets (JavaScript & Frontend)

The GPL does not extend to the client-side browser environment. Therefore, all JavaScript files, rendering algorithms (including but not limited to the multi-dimensional Board+ matrix engine and HR+ accrual processors), HTML, CSS, images, and visual assets are explicitly NOT GPL. These assets constitute the highly valuable intellectual property of Makes Sense Software LLC and are released under our Strictly Proprietary Use License. You may not redistribute, repackage, decompile, extract, or reverse engineer these frontend assets or algorithms under any circumstances without prior written consent.

3.3 Modification & Support Voidance

You are permitted to make necessary modifications to the GPL-compatible Ruby code for your internal, private infrastructure. However, Makes Sense Software LLC will not provide technical support, troubleshooting, or guarantee future update compatibility for any plugin that contains modified code.

3.4 Separation of Brand Assets

This License Grant does not extend to our non-code trademarked assets, including but not limited to our logos, specific CSS styling “trade dress”, and proprietary documentation manuals provided with the Software.

3.5 Explicit Ownership of Unique Logic

Makes Sense Software LLC retains the sole intellectual property rights and full ownership of the unique logical architectures authored by us, including but not limited to the Board+ multi-axis nesting algorithms, Org Chart layout calculators, and the HR+ time-off accrual processors. Purchasing a license grants you limited rights to use these proprietary assets in accordance with this EULA, but does not transfer any ownership, copyright, or intellectual property rights to you whatsoever.

4. Termination

4.1 Termination by Customer

You may terminate this EULA at any time by destroying all copies of the Software in your possession. No refunds will be provided for termination by the customer outside of the window defined in our Terms of Sale.

4.2 Termination by Makes Sense Software LLC

We reserve the right to terminate your license immediately if you breach any material term of this EULA, specifically regarding Trademark and Watermarking (Section 2) or Redistribution (Section 3).

4.3 Effect of Termination

Upon termination for breach, you must cease all use of the Software and delete all copies. Absent a breach, your perpetual right to use the Software versions in your possession is not affected by any change to your account status.

5. Disclaimer of Warranty & Limitation of Liability

5.1 “AS-IS” WARRANTY

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

5.2 RISK ACKNOWLEDGMENT

YOU ACKNOWLEDGE THAT THE SOFTWARE INTERACTS WITH THIRD-PARTY SYSTEMS (REDMINE). MAKES SENSE SOFTWARE LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT IT WILL NOT CAUSE DISRUPTION TO YOUR EXISTING INFRASTRUCTURE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

5.3 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAKES SENSE SOFTWARE LLC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL LIABILITY SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE RELEVANT LICENSE.
