Terms of Sale

1. General Provisions

These Terms of Sale (“Terms”) govern the purchase of digital software licenses provided by Makes Sense Software LLC (“we,” “us,” or “our”). By completing a purchase or downloading our software, you acknowledge that you have read, understood, and agree to be bound by these Terms and the End User License Agreement (EULA).

2. Digital License Disclosure

Under California Business and Professions Code Section 17500.6 (AB 2426), this transaction is for a digital license, not a transfer of ownership. You are purchasing a perpetual license to use the Software subject to these Terms and the EULA. Words such as “Buy” used on our website refer to the acquisition of this license.

3. Licensing & Updates

  • Perpetual License: Your purchase grants a perpetual right to use the Software, with no expiration and no recurring fees.
  • Updates Included: Your purchase includes access to all updates released for the purchased product at no additional cost.
  • Site License: A single license covers all Redmine instances operated by your organization for internal business use, with no per-server limit. See the EULA for details.

4. Merchant of Record

Payments are processed by Lemon Squeezy, our Merchant of Record. Lemon Squeezy is the legal seller of the license and handles all payment-related inquiries and tax collection.

5. Refund Policy

All sales are final once the Software has been downloaded or the license key has been accessed. Exceptions are made only for reproducible technical defects that we cannot resolve within 14 days, at our sole discretion. Defect reports must be submitted to support@makessensesoftware.com with sufficient detail to reproduce the issue.

Issues arising from your server environment, configuration, incompatible third-party plugins, or unsupported Redmine versions are not considered technical defects of the Software.

6. LIMITATION OF LIABILITY & WARRANTY

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKES SENSE SOFTWARE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSE.

7. Governing Law

These Terms are governed by the laws of the State of California, and any disputes shall be resolved in the courts of Los Angeles County.
